RECOMMENDATION(S):

APPROVE and AUTHORIZE the Health Services Director or designee to execute, on behalf of the County a software and hardware support agreement with AGFA Healthcare Corporation in an amount not to exceed $250,725 for Circles of Care Clinical hardware and software maintenance for the period of April 1, 2019 through March 31, 2020.

FISCAL IMPACT:

This work is entirely funded by the Hospital Enterprise Fund I and is included in the budget.

CONSEQUENCE OF NEGATIVE ACTION:

If this renewal is not approved, image availability will be limited, or not available and patient care would be severely jeopardized in the event of a system failure.








BACKGROUND:

Health Services uses the AGFA Circles of Care software for necessary service and maintenance support to the cardiology and diagnostic imaging departments' electronic imaging systems at Contra Costa Regional Medical Center (CCRMC) and Health Centers. Currently CCRMC and the Health Centers utilize the AGFA IMPAX system for all diagnostic and cardiology images. The system provides high quality imaging for patients and continuous image availability to the caregivers. Sustaining this availability requires a maintenance and support agreement with the vendor. Without this renewal, CCRMC and Health Centers will no longer receive critical software updates or vendor support in the event of a system failure.  
  
The Terms and Conditions provide that the County will indemnify the Contractor for loss and damage related to the County’s performance of the Agreement, and for any damage and costs arising from an infringement claim by a third party related to modifications to the software made by the County.
