RECOMMENDATION(S):

APPROVE and AUTHORIZE the Chair of the Board of Supervisors to execute the amended and restated Joint Powers Agreement and Bylaws of the Eastern Contra Costa Transit Authority.

FISCAL IMPACT:

No fiscal impact.

BACKGROUND:

On April 25, 2018, the Board of Direcots of the Eastern Contra Costa Transit Authority voted to forward a proposal to the members of its Joint Powers Authority seeking approval to change the governing structure of the Authority's Board of Directors. The current members of the JPA are the cities of Antioch, Brentwood, Oakley, Pittsburg and the County. Each member agency of the JPA must approve the proposed changes before those changes can be implemented. And, if any member of the JPA rejects to the proposed changes, then the changes become null and void.  
  

BACKGROUND: (CONT'D)
The proposed update to the Joint Powers Authority governance structure includes:  
  
1. Rather than each member agency appointing two members to serve on the Authority Board of Directors, each City member will appoint one member, the County will appoint two members and the Authority Board will appoint one At-Large member. (7 Members total)  
  
The proposed updates to the Bylaws include:  
  
1. Changes to the composition of the Governing Board to match the Restated Joint Powers Agreement;  
2. Clarifies that each Director serves a two-year term of office and shall continue to serve until reappointed or until a successor is appointed;  
3. Updates Section 4.05, which identifies the rotation of Board members serving as Chair and Vice Chair in future fiscal years;  
4. Updated the title of General Manager to Chief Executive Officer throughout the document.  
  
Attached to this staff report are clean and redline version of the Joint Powers Agreement and the Bylaws for reference.  
  

CONSEQUENCE OF NEGATIVE ACTION:

The County, as a member of the ECCTA, will not have adopted the most recent version of the Joint Powers Agreement and Bylaws between the other member agencies.
