RECOMMENDATION(S):

APPROVE and AUTHORIZE the Chair, Board of Supervisors, to execute an Assignment, Assumption, and Novation Agreement with Valley Operators, LLC, effective July 1, 2015, to transfer the contract with Valley Operators, LLC, from Contra Costa County to Sanitation District No. 6, Martinez area. [Project No.: 7365-6X9E30] (District V)

FISCAL IMPACT:

100% Sanitation District No. 6 funds.

BACKGROUND:

Sanitation District No. 6 (SD-6) was established in 1992 to provide operation and maintenance of the wastewater treatment facility in the community of Stonehurst. The County has provided this service via contracts with contractors since that time. The current contractor is Valley Operators, LLC. On September 9, 2014, the Board of Supervisors approved and authorized the Public Works Director, or designee, to execute a contract with Valley Operators, LLC, effective October 1, 2014 to September 30, 2017, in an amount not to exceed $175,000, to provide ongoing operation and maintenance services of the wastewater treatment plant in SD-6.

On March 31, 2015, the Board of Supervisors adopted Resolution No. 2015/108 designating the Martinez City Council as the SD-6 Board of Directors. Prior to this designation, County staff acted as SD-6 staff. With this resolution, City of Martinez staff now act as SD-6 staff. The contract with Valley Operators, LLC, that was approved in September 2014 is an agreement between the County and Valley Operators, LLC. City of Martinez, acting as SD-6 staff, has expressed the desire to assume the responsibilities and rights of the existing contract from the County to allow a smooth transition.

CONSEQUENCE OF NEGATIVE ACTION:

Without approval from the Board of Supervisors, the existing contract with Valley Operators, LLC, cannot be transferred to SD-6 and SD-6 will need to procure a separate contract in order to continue to provide service via a contractor.
