RECOMMENDATION(S):

APPROVE and AUTHORIZE the Health Services Director, or designee, to execute on behalf of the County Contract #76-752 with Roche Diagnostics Corporation, a corporation, in an amount not to exceed $1,530,425 for the purchase of a cobas 6800 analyzer used for COVID-19 testing, supplies, software, and services, for the Contra Costa Regional Medical Center (CCRMC) and Contra Costa Health Centers, for the period August 11, 2021 through August 10, 2026.

FISCAL IMPACT:

Approval of this contract will result in contractual service expenditures of up to $1,530,425 over a 5-year period and will be funded 100% by federal and state emergency funding.







BACKGROUND:

On March 10, 2020, the Board of Supervisors requested that the Governor proclaim a State of Emergency in Contra Costa County (Gov. Code Section 8625) due to COVID-19. The Health Department must use all available preventative measures to combat the spread of COVID-19, which includes testing and vaccine administration. The Department must enter into contracts for these services, and competitive bidding requirements are suspended to the extent necessary to address the effects of COVID-19. The CCRMC Clinical Laboratory uses Roche for reagents and supplies for patient specimen testing and is specific to the analyzer used for testing. The cobas 6800 is a fully automated system. It can help to streamline resource-intensive applications such as blood screening and microbiology testing. This contract meets the needs of CCRMC and Contra Costa Health Centers patients by providing ancillary equipment, reagents, and supplies for clinical and pathology use of processing tests such as HPV and COVID-19 using the cobas 6800. The Roche cobas 6800 is a real-time automated molecular system that allows for a fully automated process. Delivery of the product and services under this contract began before its execution to meet the needs of County patients imposed by the pandemic, while the parties negotiated the terms.  
  
The Roche Diagnostics Corporation Master Agreement obligates the County to indemnify Roche from (i) all liabilities arising from the County’s negligence or willful misconduct or failure to perform its duties or obligations as outlined in the Master Agreement or Schedule, and (ii) all liabilities arising from the misuse of the Products provided under the Master Agreement and Schedules.   
  
Approval of Contract #76-752 will allow the contractor to provide services for the period August 11, 2021 through August 10, 2026.

CONSEQUENCE OF NEGATIVE ACTION:

If this contract is not approved, CCRMC and Contra Costa Health Centers will not have an agreement in place for the software, reagents, supplies and services being procured, which will have a direct impact on patient care.
