RECOMMENDATION(S):

Approve and authorize the Health Services Director, or his designee, to execute on behalf of the County, Contract Amendment Agreement #26-338-15 with American Red Cross Blood Services, a Non-Profit Corporation, effective December 31, 2012, to increase the total payment limit by $65,710 from $1,350,000 to a new total payment limit of $1,415,710, and to extend the term of the Agreement from December 31, 2012 through March 31, 2013.

FISCAL IMPACT:

This amendment is 100% funded by Enterprise I Funds. Cost to the County depends upon utilization. As appropriate, patients and/or third-party payors will be billed for services. (No rate increase)

BACKGROUND:

On March 3, 2010, the Board of Supervisors approved and on April 27, 2010, corrected Contract #26-338-13 (as amended by Contract Amendment Agreement #26-338-14) with American Red Cross Blood Services, for the period from January 1, 2010 through December 31, 2012, to provide total blood and blood component products and associated services as needed for patients at the Contra Costa Regional Medical Center.

Approval of Contract Amendment Agreement #26-338-15 will allow Contractor to provide additional blood testing/screening services, and extend the term of the agreement, while the parties continue to work out negotiable terms for a renewal agreement through March 31, 2013, including continuing to agree to indemnify and hold harmless American Red Cross Blood Services from claims arising from the County's negligence, in exchange for a similar indemnification and hold harmless inuring to the benefit of the County, which was previously approved by County Risk Management.  

CONSEQUENCE OF NEGATIVE ACTION:

If this amendmentt is not approved, the County will not be able to continue to utilize Contractor’s services to provide blood services and products to the needs of Contra Costa County Medical Center.
